Effective Date: June 1, 2026.
PLEASE READ THIS MERCHANT AFFILIATE PROGRAM AGREEMENT CAREFULLY.
This agreement is between you (the “Affiliate”) and HolyPay, a DBA of Holymunity, Inc. It sets forth the terms for participating in the HolyPay Merchant Affiliate Program (“Program”). By joining, you agree to these terms.
We may periodically update this Agreement. Any changes will be communicated electronically through the Affiliate Portal, email, or other reasonable means. If you disagree with any updates, you may terminate your participation as described below.
Terms such as “We,” “Us,” “Our,” “HolyPay,” and “Holymunity” refer to Holymunity, Inc., while “You” or “Affiliate” refer to the participating merchant.
1. Eligibility
Participation in the HolyPay Merchant Affiliate Program is available only to active HolyPay merchants in good standing.
If your HolyPay merchant account is suspended, terminated, or otherwise falls out of good standing, your participation in the Program and eligibility for future rewards may be suspended or terminated.
2. How the Program Works
As a Merchant Affiliate, you will receive a unique referral link and referral code to share with businesses.
Your role is simple:
1) Invite businesses to join HolyPay.
2) Share your referral link or referral code.
3) Encourage businesses to complete registration.
Once a business registers, the HolyPay team will assist with onboarding, account setup, campaign creation, and support as needed.
3. Affiliate Reward
You will earn a $25 referral reward for each business that:
Rewards are typically paid monthly.
HolyPay reserves the right to verify referral eligibility before issuing payment.
4. New Business Reward
A referred business may qualify for a $25 incentive payment after:
1) Successfully activating its HolyPay account; and
2) Processing its first payment transaction through HolyPay.
HolyPay reserves the right to verify transaction eligibility before issuing payment.
5. Community Impact Rankings
Affiliates may earn placement within HolyPay’s Community Impact Rankings based on the number of successful business referrals.
Higher rankings may provide increased visibility and promotional opportunities within the HolyPay platform. Rankings and benefits are subject to change at HolyPay’s discretion.
6. Affiliate Expectations
By participating in the Program, you agree to:
1) Represent HolyPay honestly and professionally;
2) Avoid misleading, deceptive, or unethical marketing practices;
3) Comply with applicable laws and regulations; and
4) Maintain your HolyPay merchant account in good standing.
Affiliates may not:
1) Misrepresent HolyPay services or rewards;
2) Engage in spam or unauthorized advertising;
3) Make deceptive or misleading claims; or
7. Term and Termination
Either party may terminate participation in the Program at any time with written notice.
If this Agreement is terminated:
1) Future rewards and commissions will cease after termination;
2) Any eligible rewards earned prior to termination may still be paid at HolyPay’s discretion; and
3) Affiliates must immediately stop using HolyPay branding, logos, and promotional materials.
8. Independent Contractor Relationship
Affiliates are independent contractors and are not employees, agents, partners, or representatives of HolyPay.
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
9. Limitation of Liability
HolyPay provides the Program and platform “as is” without warranties of any kind.
HolyPay shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program.
10. Changes to the Agreement
HolyPay may update this Agreement from time to time. Continued participation in the Program after any update constitutes acceptance of the revised Agreement.
11. Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to this Agreement, the Program, or the relationship between the parties shall be resolved exclusively through final and binding arbitration rather than in court, except that either party may seek injunctive or equitable relief relating to intellectual property or confidential information.
The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its applicable commercial arbitration rules.
The arbitration will take place in Los Angeles County, California, unless otherwise agreed by both parties.
Each party will be responsible for its own legal fees and costs unless otherwise determined by the arbitrator.
The parties agree that:
1) Arbitration will be conducted on an individual basis only;
2) Class actions and class arbitrations are not permitted; and
3) The arbitrator’s decision shall be final and binding and may be entered in any court of competent jurisdiction.
By participating in the Program, both parties waive the right to a jury trial and the right to participate in any class action lawsuit.
12. Governing Law
This Agreement shall be governed by the laws of the State of California.
Any disputes arising under this Agreement shall be resolved in Los Angeles County, California.
